Learning outcomes

The aim of this course is to give knowledge of laws and international contracts which are important for the trade between Sweden and other countries.

After participating in the course the student will have good knowledge about agreements that pertain to a Swedish company selling something to a buyer in another country. With this knowledge the student will be able to

· identify legal problems in the area:

· analyse the applicable legal solutions;

· identify and analyse alternative solutions; and

· present and discuss different aspects of international contract law.

Content

International contract law is studied from a business perspective. The business perspective has as its starting point a Swedish company and the agreements the company concludes when exporting or importing a product. Areas to be covered include international contract law and, based on that, contracts of sales, transportation, insurance, agency, distribution, licensing etc. Special attention will be given to the consequences of the European Community (EC) competition law for these contracts. Payment methods and different ways of securing payments will also be studied. Finally, different methods of solving international commercial disputes will be examined. This includes international private law, international procedural law and arbitration law.

Instruction

The course will be taught in English. The course uses a combination of lectures, seminars and problem-based assignments. Participation in most of these is mandatory.

Assessment

The examination will consist of a written examination (individual) and a written commercial contract (team). Grades will be given in accordance with the Swedish grading system.

The written examination will take place at the end of the course and will be repeated within 4 weeks. The examination at the end of the spring semester will be repeated at the beginning of the autumn semester.
